Senior Legal Counsel (M&A and Commercial - Energy)


Location - London (Hybrid)


Salary - £100,000 - £120,000 per annum



Purpose


A key legal role providing high-quality, commercially focused legal advice on M&A transactions, capital projects, and commercial contracts. The role involves drafting, negotiating, and advising on complex, high-value agreements, ensuring compliance with all relevant laws and regulations. The position primarily supports UK-based teams but also extends internationally.


Key Responsibilities


  • Deliver expert legal advice on M&A transactions, capital projects, and commercial contracts.
  • Lead the negotiation and drafting of legal agreements, including business acquisitions and commercial contracts.
  • Identify and mitigate legal risks while maintaining a commercially pragmatic approach.
  • Manage legal budgets and oversee external counsel to ensure cost efficiency.
  • Support and develop junior legal team members through knowledge sharing and training.
  • Ensure compliance with applicable laws and regulations while aligning legal strategies with business objectives.
  • Collaborate closely with internal teams, external advisers, regulators, and contract counterparties.

Required Skills & Experience


  • Qualified solicitor/barrister with 5 years+ PQE in a UK jurisdiction (or equivalent with UK advisory experience).
  • Significant experience in M&A, ideally within the energy sector and across multiple jurisdictions.
  • Strong technical, drafting, and negotiation skills, with the ability to assess and manage commercial risks.
  • Ability to work independently in a fast-paced, multi-disciplinary environment.
  • Excellent stakeholder management skills, with a collaborative and commercially minded approach.
  • Experience of non-contentious construction contracts would be advantageous
