Are you a licensed legal professional with expertise in commercial contracts in the tech and software sectors? LHH Recruitment Solutions is seeking a highly skilled Corporate Contracts Counsel to join a dynamic team supporting a leading provider of professional development and online continuing education solutions. You’ll play a key role in managing and negotiating a wide range of commercial agreements, including federal contracts and SaaS licensing transactions.
Key Responsibilities
- Independently draft, review, redline, negotiate, and manage commercial contracts, including SaaS agreements, licensing deals, and IT-related transactions.
- Lead and support RFP preparation and response processes.
- Navigate federal contracting requirements and compliance frameworks.
- Collaborate with internal stakeholders to streamline contract workflows and mitigate risk.
- Provide legal guidance on agreements involving learning management systems, AI, and technology platforms serving the education and training sectors.
Qualifications
- Juris Doctor (JD) from an accredited U.S. law school.
- Active license to practice law in any U.S. state, in good standing.
- Minimum 5 years of experience in commercial contracts (client service agreements & vendor contracts), preferably in-house.
- Demonstrated expertise in licensing agreements and technology transactions (SaaS).
- Familiarity with federal procurement processes and compliance standards.
- Tech savvy with proficiency in contract lifecycle management systems and MS Office Suite, including Word, Outlook, and advanced Excel.
- Experience supporting clients in education, manufacturing, or public safety sectors is a plus.
- Must reside in the U.S. and be available to start immediately in a full-time capacity during Eastern Time Zone business hours.
