We are seeking a highly skilled and experienced Capital Markets Group Paralegal to support one of our esteemed law firm clients in San Francisco, Ca. This position offers a hybrid work schedule, 3 days in office, 2 days from home. This role is ideal for a detail-oriented professional with a strong background in corporate and securities law who thrives in a fast-paced, collaborative environment.

Key Responsibilities

As a Capital Markets Paralegal, you will:

  • Independently manage complex legal projects with minimal supervision.

  • Maintain and safeguard confidential client information while enhancing document management workflows.

  • Oversee IPO-related tasks, including drafting checklists, attending due diligence meetings, proofreading legal documents, and coordinating site visits.

  • Draft and review agreements for accuracy, content, and formatting.

  • Prepare a wide range of deal documents such as disclosures, exhibits, SEC filings, questionnaires, financing statements, CUSIP applications, purchase agreements, and merger agreements.

  • Provide comprehensive support throughout pre-closing, closing, and post-closing phases.

  • Conduct legal and non-legal research, including due diligence investigations.

  • Draft correspondence, audit response letters, working group lists, and closing checklists.

Qualifications

  • Bachelor’s degree required; paralegal certificate from an ABA-approved program preferred.

  • Minimum of 8 years of experience as a Corporate Paralegal.

  • Proficiency in Microsoft Office (Outlook, Excel, PowerPoint).

  • Strong research skills with experience using tools such as Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, and Carta.

  • Demonstrated experience in IPO and public company matters, including:

  • Registration statement numerical backup spreadsheets

  • Beneficial ownership tables

  • ’34 Act and Section 16 reporting

  • Rule 144 and legend removal letters

  • Transfer agent onboarding

  • Stock exchange applications

  • FINRA filings

  • Selling stockholder matters

  • Closing documents and volumes

  • Board resolutions and minutes

  • Excellent written and verbal communication skills.

  • Strong organizational and time management abilities to manage multiple projects and meet deadlines.

  • Solid understanding of corporate and securities law, including SEC regulations.

  • High attention to detail and accuracy in document preparation and filings.

  • Prior experience in legal or financial environments, particularly in capital markets or corporate finance, is highly desirable.

Compensation and benefits:

Salary 80k-120k
