We are seeking a highly skilled and experienced Capital Markets Group Paralegal to support one of our esteemed law firm clients in San Francisco, Ca. This position offers a hybrid work schedule, 3 days in office, 2 days from home. This role is ideal for a detail-oriented professional with a strong background in corporate and securities law who thrives in a fast-paced, collaborative environment.
Key Responsibilities
As a Capital Markets Paralegal, you will:
Independently manage complex legal projects with minimal supervision.
Maintain and safeguard confidential client information while enhancing document management workflows.
Oversee IPO-related tasks, including drafting checklists, attending due diligence meetings, proofreading legal documents, and coordinating site visits.
Draft and review agreements for accuracy, content, and formatting.
Prepare a wide range of deal documents such as disclosures, exhibits, SEC filings, questionnaires, financing statements, CUSIP applications, purchase agreements, and merger agreements.
Provide comprehensive support throughout pre-closing, closing, and post-closing phases.
Conduct legal and non-legal research, including due diligence investigations.
Draft correspondence, audit response letters, working group lists, and closing checklists.
Qualifications
Bachelor’s degree required; paralegal certificate from an ABA-approved program preferred.
Minimum of 8 years of experience as a Corporate Paralegal.
Proficiency in Microsoft Office (Outlook, Excel, PowerPoint).
Strong research skills with experience using tools such as Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, and Carta.
Demonstrated experience in IPO and public company matters, including:
Registration statement numerical backup spreadsheets
Beneficial ownership tables
’34 Act and Section 16 reporting
Rule 144 and legend removal letters
Transfer agent onboarding
Stock exchange applications
FINRA filings
Selling stockholder matters
Closing documents and volumes
Board resolutions and minutes
Excellent written and verbal communication skills.
Strong organizational and time management abilities to manage multiple projects and meet deadlines.
Solid understanding of corporate and securities law, including SEC regulations.
High attention to detail and accuracy in document preparation and filings.
Prior experience in legal or financial environments, particularly in capital markets or corporate finance, is highly desirable.
Compensation and benefits:
Salary 80k-120k
